What is an Annual Return or Form 363?

Every company must file an annual return to Companies House at least once every 12 months. From the date that the return is made up, the company has 28 days to do this. The company's registered office receives a reminder when the annual return is due.

What information is in the Annual Return?

The Annual Return must be filed annually with Companies House and summarises current directorships, shareholders, company's activities and company/capital structure.

What happens if the Return is filed late?

If the annual return is filed late or not all all, the company and its director(s) and secretary can de prosecuted.
